NEW YORK — One of the world's largest drug makers has entered a definitive agreement to purchase a Copenhagen-based consumer healthcare business.

Pfizer said Monday that it agreed to acquire from Altor 2003 Fund GP Limited Ferrosan’s consumer healthcare business, which includes a portfolio of such dietary supplements and lifestyle products as Multi-Tabs and Bifiform. Ferrosan caters to such markets as Russia, Ukraine, Poland, Turkey and many countries throughout Central and Eastern Europe.

The NCL identified print and television advertisements that suggested that Vitaminwater can replace flu shots and prevent illness as “dangerously misleading.”

NEW YORK — Pfizer has cleared one of the main legal hurdles in its effort to purchase drug maker King Pharmaceuticals, Pfizer said Friday.

Pfizer, the world’s largest drug company, said the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 had been terminated, one of the conditions necessary for the completion of Pfizer’s tender offer for King.

Pfizer announced plans in October to purchase Bristol, Tenn.-based King for $3.6 billion, or $14.25 per share.

The summit, which will take place in Las Vegas in May, is in its seventh year and is expected to bring 1,500 participants representing 400 specialty healthcare organizations, including specialty pharmacy providers, pharmaceutical and biotech companies, wholesale distributors and others.

Pfizer said it had extended its tender offer to Dec. 17 because certain conditions had not been met, but the two companies plan to have it finished by the end of this year or the beginning of next year.

 

 

King, based in Bristol, Tenn., specializes in branded opioid prescription painkillers.

NEW YORK Pfizer officially has made its tender offer to buy King Pharmaceuticals for $3.6 billion, or $14.25 per share, Pfizer said Friday.

 

The offer constitutes a 40% premium over the closing price of King’s stock on Oct. 11, when Pfizer originally made the offer. King, based in Bristol, Tenn., specializes in pain medications designed to deter misuse and abuse, and Pfizer said the acquisition would enhance its position in the pain-relief market.

 

 

The offer expires at midnight on Nov. 19.

FoldRx now is a wholly owned subsidiary of Pfizer, Pfizer said. FoldRx's portfolio includes clinical and preclinical programs for investigational compounds to treat diseases caused by protein misfolding, which increasingly is recognized as an underlying cause in many chronic degenerative diseases.

The acquisition was announced Sept. 1.

NEEDHAM, Mass. Pfizer is pulling out of a development deal for a potential brain cancer drug, saying it is not a strategic priority, according to the drug's developer Celldex Therapeutics.

Celldex said it will regain full worldwide rights to develop and sell rindopepimut from Pfizer. The drug candidate also is called CDX-110. In May, the company reported positive results form a midstage study on the drug.

 

Celldex will regain rights to the drug candidate on Nov. 1.
