Valeant Pharmaceuticals is set to acquire a privately owned ophthalmic biotechnology company, the drug maker said Monday.

MISSISSAUGA, Ontario — Valeant Pharmaceuticals is set to acquire a privately owned ophthalmic biotechnology company, the drug maker said Monday.

Valeant said it will acquire Eyetech upfront payment and potential future milestones. The transaction, which is subject to customary closing conditions, is expected to close this week. Additional details were not disclosed.

HAIFA BAY, Israel — A committee formed by Taro Pharmaceutical Industries in December is continuing to evaluate an acquisition offer by India-based Sun Pharmaceutical Industries, Taro said.

Sun is hoping to acquire Israel-based Taro for $24.50 per share.

The committee, comprising members of the company's board of directors, has brought on Citigroup Global Markets as its financial adviser and is receiving legal advice from Israeli legal firm Goldfarb Seligman & Co. and U.S. firm Willkie Farr & Gallagher.

Clorox on Friday confirmed it has received an unsolicited conditional proposal from Icahn Enterprises to acquire the company for $76.50 per share, subject to due diligence, financing and other conditions.

OAKLAND, Calif. — Clorox on Friday confirmed it has received an unsolicited conditional proposal from Icahn Enterprises to acquire the company for $76.50 per share, subject to due diligence, financing and other conditions. Clorox said its board of directors, in consultation with its financial and legal advisers, will review the proposal in due course. 

Goldman, Sachs & Co. and J.P. Morgan Securities are serving as financial advisers, and Wachtell, Lipton, Rosen & Katz is legal adviser.

Catalyst Health Solutions and Walgreens on Monday announced that the Federal Trade Commission has granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976.

ROCKVILLE, Md. — Catalyst Health Solutions and Walgreens on Monday announced that the Federal Trade Commission has granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with Catalyst’s previously announced proposed acquisition of Walgreens Health Initiatives, the pharmacy benefit management subsidiary of Walgreens.

Completion of the proposed acquisition remains subject to other closing conditions. The companies continue to expect to complete the transaction in the first half of 2011.

ST. LOUIS — Just one week after clearing the antitrust hurdle to acquire American Safety Razor, Energizer announced that its acquisition of the company now is complete.

Energizer purchased substantially all of the assets of American Safety Razor for $301 million in cash and the assumption of certain liabilities, the company said.

As previously reported by Drug Store News, Energizer announced in early October that it was the winning bidder for ASR in bankruptcy court proceedings.
