Private equity fund Brynwood Partners VI L.P. announced on Tuesday that its newly formed portfolio company, High Ridge Brands, has acquired the Zest brand from Procter & Gamble.

GREENWICH, Conn. — Private equity fund Brynwood Partners VI L.P. announced on Tuesday that its newly formed portfolio company, High Ridge Brands, has acquired the Zest brand from Procter & Gamble.

High Ridge Brands purchased the rights to the Zest brand in the United States, Canada and the Caribbean markets. The company will be based in Stamford, Conn., and Brynwood VI has majority ownership of the company.

Terms of the transaction were not disclosed.

Pfizer will pay Danish biotech company Santaris Pharma $14 million for access to its development platform for RNA-based therapies, Pfizer said Tuesday.

SAN DIEGO — Pfizer will pay Danish biotech company Santaris Pharma $14 million for access to its development platform for RNA-based therapies, Pfizer said Tuesday.

The drug maker said the deal would expand on an existing one between Hoersholm, Denmark-based Santaris and Wyeth, which Pfizer acquired in 2009. Santaris could take in up to $600 million in milestone payments, as well as royalties on products developed under the collaboration.

CVS Caremark is more than doubling the size of its Medicare Part D program by acquiring the Medicare Part D business of Universal American for roughly $1.25 billion.

WOONSOCKET, R.I. — CVS Caremark is more than doubling the size of its Medicare Part D program by acquiring the Medicare Part D business of Universal American for roughly $1.25 billion.

Universal American’s Part D business currently serves about 1.9 million Medicare PDP members, while CVS Caremark serves roughly 1.2 million Medicare PDP members. This reflects current levels of membership and does not include 2011 auto assignment or the results of the annual enrollment period, which ended Dec. 31, 2010.

DUBLIN, Ohio — Say goodbye to Kinray, the service-obsessed regional drug wholesaler. But say hello to a more muscular and diversified Cardinal Health.


The wholesale and health services giant announced Nov. 18 it will buy Kinray for $1.3 billion. The buyout, set for completion in early 2011, will be a boon to Cardinal, boosting its customer base to more than 7,000 independent drug stores, extending its reach in the Northeast and adding scale versus its wholesale rivals, McKesson and AmerisourceBergen.

PORTLAND, Ore. — Danone will boost its yogurt business with its acquisition of YoCream International.

Danone offered to acquire YoCream for about $39.82 in cash for each share, or $103 million, YoCream said. The company said it expected the transaction to close before Dec. 28.

TOKYO The president and CEO of Agensys, a subsidiary of Japanese drug maker Astellas, will retire, Astellas said Tuesday.

 

Donald Rice founded Agensys as UroGenesys in Santa Monica, Calif., in 1996 for the development of biotech drugs for treating cancer. Astellas acquired Agensys in December 2007.

 

Former Allergan SVP, head of global drug development and chief medical officer Sef Kurstjens will replace Rice as president and CEO of Agensys.

Conaway, who ran Kmart a decade ago after serving as president of CVS, will pay $5.5 million to settle the charges, according to reports from the Associated Press and other news sources.

PRINCETON, N.J. Sandoz has launched a generic antibiotic drug, the generics division of Swiss drug maker Novartis said Thursday.

 

Sandoz announced the launch of piperacillin and tazobactam for injection. The drug is used to treat moderate to severe infections of bacteria resistant to piperacillin alone but vulnerable to the combination of the two drugs.

The world’s largest drug maker announced that it had agreed to acquire Bristol, Tenn.-based King for $14.25 per share, which it said was a 40% premium over the Monday closing price of King’s stock.

CAMBRIDGE, Mass. The board of directors of Genzyme again has rejected a buyout offer by French drug maker Sanofi-Aventis, Genzyme said Thursday.

The biotech company’s board unanimously turned down the hostile offer Sanofi made Monday to acquire Genzyme for $18.5 billion, or $69 per share, saying it was “opportunistic” and undervalued the company.

BASEL, Switzerland Swiss drug maker Roche has bought the rights to an investigative treatment for hepatitis C, Roche said.

 

The company announced Thursday that it had purchased global development and commercialization rights to the drug RG7227/ITMN-191 (danoprevir) from InterMune for $175 million.

 

 

Roche said the drug had shown promise in preclinical and early clinical development. The two companies have been developing the drug since 2006.

DUBLIN Shareholders of Belgian drug maker Movetis have put up nearly all of their shares for sale as British drug maker Shire moves to acquire the company, Shire said Thursday.

 

Shire said 99.18% of Movetis’ shares had been tendered as of Monday.

 

 

Shire announced last month that it would buy Movetis for $567 million. The Turnhout, Belgium-based company makes gastroenterology drugs.
